FORCE MAJEURE
Neither Party will be liable to the other Party for any delay in or any failure to
perform its obligations (other than payment of money) as a result of any act of god
war, terrorism, riot, or civil commotion but only to the extent that the same was not
caused by the Party seeking relief. If such delay or failure continues for at least
sixty (60) days, either Party will be entitled to terminate this Agreement by notice in
writing
這句話指的是不可抗力。如果由于不可抗力,例如天災(zāi)、戰(zhàn)爭、恐怖主義、暴動或公眾動亂等這些因素導(dǎo)致一方無法履行其義務(wù),則該方不會對另一方承擔任何責任。但是,如果這種延遲或失敗持續(xù)時間達到60天以上,任何一方都有權(quán)通過書面通知終止協(xié)議。不過,如果延遲或失敗是由尋求救濟的一方引起的,則不能視為不可抗力。
